As for the time and place, I'd suggest a level of privacy and mood that would be conducive to sex play. As for how, I'd guess that it all depends on your shared style of communication.

One tool that could be helpful to some in your situation might be to write a letter, either that you actually give to her, or that you could use as preparation to having the actual "breaking the ice" discussion. That way, you make sure that you say everything that you want to say, and you could certainly be with her when she reads the letter (if you decide to go that route) as an entré to further discussion.
